SATA HOLDING LAUNCHES PROCEDURE FOR THE DISPOSAL OF SHARES REPRESENTING THE ENTIRE SHARE CAPITAL OF SATA HANDLING, S.A.
SATA Holding hereby informs that the specifications relating to the procedure for the disposal of shares representing the entire share capital of SATA Handling, S.A. have been published in the Official Journal.
This operation represents an investment opportunity in a company of strategic relevance to the Autonomous Region of the Azores, responsible for the provision of ground handling services and playing an essential role in the Region’s air connectivity.
SATA Handling, S.A. was incorporated in April 2026 following the demerger process of SATA Air Açores – Sociedade Açoriana de Transportes Aéreos, S.A., and its corporate purpose is the provision of ground handling services.
The specifications set out the rules governing the operation, ensuring a transparent, competitive procedure open to the participation of entities that demonstrate that they meet the requirements of good standing, financial capacity and experience necessary for the development of this activity of strategic relevance.
The specifications also establish a set of obligations for the future acquirer, aimed at ensuring the continuity of the activity, operational stability and the safeguarding of employment conditions.
The disposal will be carried out by means of a private negotiation procedure, allowing for a phased and more efficient approach in the interaction with investors, without prejudice to the principles of transparency, equality and competition. Following verification of compliance with the participation requirements, namely good standing, financial capacity and experience, the admitted candidates will be invited to submit non-binding proposals, followed by a due diligence phase and, subsequently, the submission of binding proposals.
Through this process, SATA Holding aims to attract qualified investors, promote the enhancement of SATA Handling, S.A., and ensure the continued provision of ground handling services with high standards of quality, efficiency and sustainability, for the benefit of air mobility and the connectivity of the Autonomous Region of the Azores.

National or foreign investors may participate in the procedure, individually or as part of a consortium, provided that they demonstrate compliance with the participation requirements set out in the specifications, namely with regard to good standing, financial capacity and relevant experience.
Interested parties have 45 days from the entry into force of the resolution approving the specifications to submit the required documentation. For this purpose, they must download and complete the Good Standing and Compliance Form, Annex I to the specifications, and send it by email to handling2026@sata.pt.
